Structure HQ: Building Governance Infrastructure for Africa’s Next Generation of Businesses

The Managing Director and Founder of Structure HQ, Gbeminiyi Shoda, has outlined the firm’s long-term vision of building an African business environment where governance is treated as strategic infrastructure rather than a routine administrative burden.

Speaking to mark Structure HQ’s fifth anniversary, Shoda said businesses across Nigeria and the wider African market are grappling with what she described as a “governance paradox”, a situation where regulatory complexity is rising, yet access to institutional-grade governance remains fragmented.

She noted that as African companies expand, the need for structured, globally aligned governance frameworks has become critical to their competitiveness on the international stage.

According to her, Structure HQ is focused on ensuring that governance capability is accessible at every stage of business growth, enabling African firms to meet global standards while preserving wealth across generations through structured private affairs management.

“Institutional-grade capability should not be reserved for a few. Our vision is a system where African companies can compete globally because their governance infrastructure meets international standards, and regulatory complexity is navigated strategically rather than reactively,” Shoda said.

She added that the company’s mission goes beyond building a successful enterprise, aiming instead to reshape how governance is perceived across the continent, as the foundation for sustainable growth.
Founded in 2021, Structure HQ was established to deliver world-class governance solutions tailored to the realities of African businesses.

Shoda explained that the gap in the market was not only about affordability, but also about delivering governance with institutional rigour while remaining practical and adaptable to different growth stages.

“We entered the market with a conviction that no problem is unsolvable, only poorly structured,” She said.

Over time, the firm expanded its offerings to address inefficiencies in how clients accessed governance and legal services. By 2022, Structure HQ identified a recurring challenge where businesses had to coordinate separately with governance advisors and law firms, creating delays and friction in transactions and regulatory processes.

To address this, the company integrated its legal arm, SHQ Legal, providing clients with a unified platform for governance and legal services.

“We realised that if clients require both governance expertise and legal capability to execute transactions or navigate regulatory frameworks, there should be no need to manage multiple advisors. That integration became a key competitive advantage for us,” Shoda explained.

Today, Structure HQ offers a broad suite of services, including board advisory, company secretariat, compliance management, private affairs management, and data protection compliance.

Through its legal arm, clients also access support across corporate law, finance, data privacy, mergers and acquisitions, real estate, and regulatory compliance.

The firm now serves organisations across multiple sectors such as fintech, banking, real estate, consumer goods, media, and government-related entities.

Beyond client services, Shoda emphasised that Structure HQ is driving a broader shift in mindset, repositioning governance from a cost centre to a value-creating system that underpins long-term business sustainability and growth across Africa.
